Terms & Conditions

Introduction


1.1 These terms apply to the services provided by FloorScape Pty Ltd (ABN 94 660 137 217). By booking or using our services you agree to these terms.
1.2 If you do not agree, do not use our services.

Definitions


2.1 Client Materials means anything the client or its representatives provide or make available to us, including architectural plans, BIM files, LiDAR scans, point clouds, specifications, photos, brand assets, instructions and property information.
2.2 FS Data means all data we create, capture or extract while providing the services, including measurements, sketches, traces, redraws, reconstructions, annotations, metadata, QA notes, model parameters, segmentation, features, point-cloud subsets, and derivative datasets generated from Client Materials.
2.3 Deliverables means the files or outputs we supply for the agreed purpose, including marketing floor plans, developer plan packs, point clouds and BIM models.
2.4 AI Models means our machine learning systems, algorithms, weights, features, datasets and related outputs we develop or improve.

Services and Product Lines


3.1 High-volume residential and commercial marketing floor plans. We measure onsite or reconstruct from building documentation where a property is not yet built. We rely on point clouds and manual inputs to ensure onsite accuracy.
3.2 Developer solutions. Bespoke, at-scale graphical plan production for developers using supplied documentation, CAD/BIM and specifications, including off-the-plan projects.
3.3 LiDAR and BIM services. Capture and processing of point clouds and conversion to BIM models.

Client Obligations


4.1 Provide complete and accurate information, instructions and timely approvals.
4.2 Ensure safe, reasonable access at the booked time and that the property is safely inhabitable.
4.3 Warrant you have all permissions and rights to provide Client Materials and to allow us to access the property and use those materials for the permitted purposes.
4.4 Review Deliverables before use. Marketing floor plans are for marketing and planning only and are not survey, valuation, lease calculation, certification or construction documents.

Fees, Payment and Cancellations


5.1 Fees are as per our price list or a written quote.
5.2 Invoices are due within 14 days of delivery. We may suspend services if invoices remain unpaid. A late fee of AUD 2.00 per calendar day applies from day 15 until paid.
5.3 The booking party and the represented principal are jointly and severally liable for payment.
5.4 Cancelling an onsite measure less than 24 hours before the booking may incur a fee equal to 50 percent of the service fee.
5.5 The client is responsible for all reasonable costs of collection if invoices are not paid.

Intellectual Property, Ownership and Licences


6.1 Client Materials remain owned by the client or its licensors. The client grants us a perpetual, irrevocable, worldwide, royalty-free licence (with the right to sublicense) to use, reproduce, modify, adapt, translate, create derivative works from and process Client Materials to deliver the services, to verify and improve accuracy, to create FS Data and Deliverables, and to develop, improve, commercialise and sublicense our AI Models and related products.
6.2 FS Data is owned by FloorScape, including FS Data derived from Client Materials. We do not claim ownership of the underlying Client Materials.
6.3 Deliverables ownership and use are set by product line in section 7. Nothing here transfers ownership of FS Data, our methods, software or AI Models to the client, and nothing transfers ownership of Client Materials to us.

Product-Line Specific Licence Terms and Responsibilities

7.1 High-volume residential and commercial marketing floor plans
(a) Licence. A non-exclusive, non-transferable licence for a single listing campaign for the specific property. The paying party holds the licence. If the vendor pays via vendor-paid advertising (VPA), the vendor holds the licence and may authorise the agent to use it for that sale.
(b) Responsibility. The agent, as the significant earning party, holds ultimate responsibility for correct use, disclosure and compliance in the campaign.
(c) Restrictions. No reuse for other properties, additional campaigns or leasing without our written approval. No editing of marketing floor plans except by FloorScape.

7.2 Developer solutions


(a) Licence. A perpetual, exclusive licence to use Deliverables for marketing the specific project, including stages, amendments and ongoing sales of lots in that project. Not transferable beyond that project.
(b) Hold harmless. The developer, as the significant earning party, holds FloorScape harmless beyond the original service fees paid for the relevant scope.
(c) Changes. The developer must promptly notify us of design updates. Deliverables reflect the latest inputs provided at the time of production.

7.3 LiDAR and BIM services


(a) Deliverable ownership. The client owns the final Deliverables supplied for the commissioned asset (the point cloud files and BIM models we deliver).
(b) FS Data. FloorScape retains ownership of all FS Data and may use it as set out in 6.2.
(c) Downstream use. The client is responsible for professional verification in any design, engineering or construction use.

AI and Data Rights


8.1 We may use Client Materials and FS Data to train, validate, improve, commercialise and sublicense our AI Models and related products. We do this in a privacy-preserving manner and do not publish identifiable Client Materials.
8.2 We may aggregate or de-identify data across projects. We do not grant clients any ownership in our AI Models, weights, features or training datasets, even where derived in part from Client Materials or FS Data.

Acceptable Use


9.1 Clients must not use Deliverables for unlawful purposes, misrepresent properties, or remove required notices or disclaimers.
9.2 Except as allowed in section 7, clients must not resell, sublicense or redistribute Deliverables. Developer Deliverables may be shared with the developer’s appointed agents solely for the project’s marketing.

Indemnities


10.1 Client indemnity. The client indemnifies FloorScape and its personnel against all claims, losses, costs and liabilities arising from: a breach of these terms, lack of permissions for Client Materials or property access, misuse of Deliverables, reliance on Deliverables beyond their intended purpose, or infringement claims relating to Client Materials.

Liability and Disclaimers


11.1 To the maximum extent permitted by law, FloorScape is not liable for indirect, incidental, special, punitive or consequential loss, including loss of profit, revenue, business opportunity, data or goodwill.
11.2 Our aggregate liability in any case is limited to the fees paid for the affected service.
11.3 Deliverables are for marketing and planning. They are not survey, valuation, lease, certification or construction documents. Independent verification is required for critical dimensions and decisions.
11.4 Mandatory consumer rights under Australian Consumer Law are not excluded. Where permitted, our remedy is re-supply of services or the cost of re-supply.

Data Security and Privacy


12.1 We implement reasonable administrative, technical and physical safeguards for Client Materials, FS Data and personal information.
12.2 We minimise personal information in files, de-identify where feasible, and limit disclosure to what is necessary to deliver the services or operate and improve our AI Models.
12.3 Our Privacy Policy explains how we collect, use and protect personal information and how clients can exercise their rights.

Service Changes and Suspension


13.1 We may modify or discontinue aspects of our services at any time.
13.2 We may suspend or withhold Deliverables if invoices are overdue or if site access is unsafe or not as booked.

Governing Law and Jurisdiction


14.1 The governing law is the law of the Australian state or territory where the property is located. If the property is outside Australia, Queensland law applies.
14.2 The courts of that jurisdiction have exclusive jurisdiction.

Entire Agreement and Updates


15.1 These terms are the entire agreement for the services and supersede prior discussions or understandings.
15.2 We may update these terms. Continued use after posting updates constitutes acceptance. If a material change affects data or AI use, we will provide reasonable notice where practicable.
15.3 If any provision is invalid or unenforceable, it is read down or severed and the remainder continues in force. A failure to enforce is not a waiver.
